1. AGREEMENT TO TERMS

Welcome to Uva! These Terms of Service (“Terms”) are a legally binding agreement between Uva Cellars Inc. and Uva Technologies Inc. (“Uva,” “we,” “our,” or “us”) and you (“you” or “user”), governing your use of our website, mobile application, smart wine racking system, and related services (collectively, the “Service”).

PLEASE READ THESE TERMS CAREFULLY. By clicking “I Accept,” or by downloading, installing, or otherwise accessing or using the Service, you confirm that you have read, understand, and agree to be bound by these Terms, including our Privacy Policy.

If you do not agree, you must immediately stop using the Service.

NOTICE OF ARBITRATION: These Terms contain a mandatory arbitration clause (see Section 10). By agreeing to these Terms, you waive your right to a jury trial or class action.

2. OVERVIEW OF SERVICES

Uva provides an AI-powered Smart Sommelier app, a smart wine racking system, and digital services for wine enthusiasts. Key features include:

Wine Recommendations & Pairings – Suggestions, including AI-driven ones, for wine purchases, pairings, and storage.
Cellar Management – Tracking wine inventory, environmental conditions, and preferences.
Subscription Plans – Free and premium tiers with different features.
Third-Party Integrations – External services, payment processors, and smart home devices.

Uva may modify, update, or discontinue any part of the Service at any time without liability.

3. ELIGIBILITY & ACCOUNT REGISTRATION

3.1 Age & Legal Compliance

You must be at least 18 years old (or the legal drinking age in your jurisdiction) to use the Service.
By using the Service, you confirm that your use complies with all applicable alcohol laws in your location.

3.2 Account Creation & Security

You are responsible for providing accurate, up-to-date registration information.
You must keep your login credentials confidential.
You agree not to share your account or use another person’s account without permission.

Uva is not responsible for unauthorized account access resulting from your failure to secure your credentials.

4. SUBSCRIPTIONS, PAYMENTS & CANCELLATIONS

4.1 Free & Premium Plans

Uva offers both free and paid subscription plans with additional features for premium users.

4.2 Payment Processing & Auto-Renewal

Payments are processed through Apple App Store, Google Play, or third-party payment processors.
Subscriptions automatically renew unless canceled before the renewal date.
Sales taxes and currency conversions are handled by the payment processor.

4.3 Cancellation & Refunds

You can cancel at any time via your app store settings or Uva account settings.
Refunds are not provided, except as required by law.

4.4 Price Changes

Uva may change pricing at any time.
If you are a paid subscriber, we will notify you in advance of price changes.

5. USER-GENERATED CONTENT & INTELLECTUAL PROPERTY

5.1 User Content Rights & License to Uva

Users may submit wine reviews, ratings, cellar photos, and comments (“User Content”). You retain ownership of your content but grant Uva a worldwide, royalty-free, irrevocable license to:

Use, modify, display, distribute, and create derivative works.
Feature User Content in marketing, AI training, and analytics.

5.2 Prohibited Content

You may not upload content that:

Violates laws, including alcohol sales & advertising regulations.
Contains misleading, defamatory, or offensive material.

5.3 Uva’s Intellectual Property

All software, branding, and content related to Uva are owned by Uva. You may not:

Copy, modify, or distribute any part of the Service.
Reverse-engineer any Uva technology.

Violating these terms may result in account suspension or legal action.

6. ACCEPTABLE USE POLICY

Users must not:

Engage in fraud, hacking, or unauthorized access.
Use Uva for illegal alcohol sales or underage drinking.
Attempt to bypass premium features without payment.

Violations may result in account termination without notice.

7. AI-POWERED RECOMMENDATIONS & DISCLAIMERS

Uva’s AI-powered Smart Sommelier provides wine recommendations, pairings, and storage suggestions based on user data, preferences, and environmental factors. These recommendations are generated using machine learning and predictive models.

7.1 AI-Generated Recommendations Disclaimer

Uva’s AI is designed to enhance your wine experience, but its recommendations are for informational purposes only. Uva makes no guarantees that AI-generated recommendations will be accurate, reliable, or suitable for your specific needs.

Uva is not responsible for:

Incorrect, outdated, or misleading wine recommendations.
Purchasing decisions made based on AI-generated content.
Financial, legal, or health consequences of acting on AI suggestions.

Users acknowledge that AI-generated recommendations should not replace professional wine advice.

7.2 AI Model Updates & Evolving Data

Uva’s AI system undergoes periodic updates, meaning that recommendations, wine ratings, and cellar insights may change over time. Users acknowledge that:

AI-generated content may be revised, replaced, or removed based on new data or algorithm updates.
Past recommendations may not remain valid or available in the future.
AI learning models evolve, which may impact the accuracy or availability of recommendations.

Users should always use their own judgment and consult a wine professional if they require expert advice.

8. THIRD-PARTY SERVICES & ADVERTISING

Uva may include third-party ads, links, and integrations. Uva does not control or endorse these services. Use them at your own risk.

9. DISCLAIMERS & LIMITATION OF LIABILITY

9.1 “As-Is” Basis

The Service is provided “as is” and “as available”. Uva makes no warranties about:

Uninterrupted service.
Accuracy of recommendations.
Third-party services.

9.2 Limitation of Liability

To the maximum extent allowed by law, Uva is not liable for:

Lost profits, indirect damages, or data loss.
Errors in wine recommendations.

Total liability is capped at the amount paid for Uva Services in the past 12 months.

10. DISPUTE RESOLUTION & ARBITRATION

10.1 Governing Law

These Terms are governed by the laws of Alberta, Canada.

10.2 Mandatory Arbitration

Most disputes must be resolved by arbitration, not court.
No class actions allowed.

10.3 Opt-Out Option

You can opt out of arbitration within 30 days by emailing support@uvacellars.com.

11. FORCE MAJEURE (EVENTS BEYOND OUR CONTROL)

Uva is not liable for service disruptions due to:

Natural disasters (earthquakes, floods, fires).
Cyberattacks or security breaches.

12. DATA RETENTION & ACCOUNT DELETION

Uva retains user data only as long as necessary for Service functionality and legal compliance.
Users can request account deletion and data removal.

13. CHANGES TO THESE TERMS

Uva may update these Terms at any time. Significant changes will be notified via email or app notifications. Continued use after changes means you accept the revised Terms.
